A government bond, a floor of a commercial building, a tonne of carbon credits, a warehouse full of inventory. For most of history, owning these assets meant paperwork, intermediaries, minimum ticket sizes and settlement cycles measured in days.
Tokenization changes the container, not the asset. By representing ownership as a programmable digital token, real-world assets can be issued, transferred, settled and serviced with a speed and precision that traditional systems struggle to match. It has quickly become one of the most important trends in institutional finance.
What tokenization actually is
Tokenization is the process of representing a right to an asset as a digital token on a programmable ledger.
That right might be:
- Ownership of a bond or certificate of deposit.
- A fractional interest in a property.
- A share in a fund.
- A claim on a commodity or inventory.
- An environmental attribute like a carbon credit.
The token itself is not magic. Its value depends entirely on the legal structure that connects it to the underlying asset, the issuer who stands behind it, and the rules that govern how it can be held and transferred.
What tokenization adds is programmability: ownership records, transfer restrictions, coupon payments and compliance checks can all be embedded into the asset's digital form.
How big is the market in 2026?
Tokenization has moved well beyond pilots. Public trackers such as rwa.xyz have reported that on-chain tokenized real-world assets reached roughly $32 billion by the end of June 2026, up from about $11.8 billion a year earlier, as covered by industry press.
Tokenized US Treasury products have been one of the fastest-growing categories, because they offer a familiar, low-risk asset in a programmable format.
Two important caveats keep that growth in perspective:
- It is still small relative to traditional markets. Global bond and equity markets are measured in the tens and hundreds of trillions.
- Much tokenized value is not actively traded. Industry analysis in 2026 noted that a large share of tokenized assets sits largely static, which means secondary market liquidity remains a work in progress.
In other words, the foundation is being laid, but the most valuable infrastructure, liquid, compliant, interoperable markets, is still being built.
India is testing tokenization too
India's central bank is actively exploring tokenized markets.
According to the RBI's Annual Report 2025-26, the Reserve Bank has developed the Unified Markets Interface (UMI), a multi-layer platform to facilitate tokenisation of financial assets while leveraging wholesale CBDC for settlement efficiency. A pilot for issuance and trading of certificates of deposit in tokenised form, with settlement in wholesale CBDC, has begun on the platform.
This is significant for two reasons:
- It pairs a tokenized asset with a tokenized settlement asset, enabling delivery-versus-payment on the same infrastructure.
- It starts with a well-understood, regulated money market instrument, the kind of low-risk use case that builds confidence before expansion.
India already has a strong retail gateway to sovereign debt through RBI Retail Direct, which lets individuals invest directly in government securities. Tokenized infrastructure could, over time, make such instruments even easier to access, fractionalise and settle.
What the global experiments are showing
The BIS-led Project Agorá, which brought together seven central banks and more than 40 financial institutions, reported in May 2026 that tokenised commercial bank deposits can be combined with tokenised central bank reserves on a shared programmable platform. That matters for tokenized assets because it points to how cash legs of transactions could settle atomically alongside the assets themselves.
Why tokenize? The real benefits
Faster settlement
When both the asset and the payment exist on programmable infrastructure, settlement can be near-instant and atomic, reducing counterparty risk.
Fractional ownership
A high-value asset can be divided into smaller units, potentially opening access to investors who could not previously meet minimum investment sizes, subject to regulation.
Automated servicing
Coupon payments, dividends, rental distributions and redemptions can be executed by smart contracts on schedule, with a clear record.
Embedded compliance
Transfer rules can check investor eligibility, jurisdiction and holding limits before a transfer executes.
Transparency and auditability
Ownership histories, corporate actions and supply changes are recorded consistently and can be verified.
Operational efficiency
Fewer manual reconciliations between registrars, custodians, transfer agents and settlement systems.
The tokenization lifecycle
A well-designed RWA platform handles the full lifecycle, not just the minting moment.
1. Structuring
Define the legal wrapper: who owns the underlying asset, what rights token holders receive, which regulations apply, and how disputes are resolved.
2. Onboarding and KYC
Verify issuers and investors. Establish eligibility rules, such as accredited investor status or jurisdiction restrictions.
3. Issuance
Mint tokens representing the asset, record the cap table, and link token supply to the underlying asset and its documentation.
4. Primary distribution
Allow investors to subscribe, ideally paying through familiar methods while the platform handles the conversion into ledger events.
5. Servicing
Distribute coupons or dividends, handle corporate actions, and maintain an accurate register.
6. Secondary trading
Enable compliant transfers between eligible holders, through permissioned trading venues where regulation allows.
7. Redemption and burning
At maturity or exit, redeem the asset and burn the tokens so supply stays accurate.
Compliance built into the token
One of the most important design choices is how to enforce rules on who can hold and trade a token.
Standards such as ERC-3643 illustrate the approach. It defines permissioned tokens that can be held and transferred only by identities meeting predefined compliance rules, such as KYC/AML checks, investor eligibility and jurisdiction requirements. Before a transfer executes, the token contract checks a compliance module. If the rules are not met, the transfer reverts.
This is the key difference between institutional tokenization and open cryptocurrencies: the asset itself refuses non-compliant transfers.
The hard problems issuers must solve
A credible tokenization strategy confronts these challenges head-on.
Legal enforceability. A token is only as strong as the legal link to the asset. Regulators, courts and insolvency rules must recognise that link.
Proof of reserves. Investors need continuous assurance that tokens in circulation are backed by the underlying asset or cash held off-chain.
Interoperability. Institutions use different ledgers, such as Hyperledger Fabric, Corda and public chains. A token issued on one network may need to settle or trade on another without insecure bridges.
Liquidity. Tokenization does not automatically create buyers. Secondary markets need eligible participants, market makers and clear rules.
Custody and security. Tokens representing real value must be protected with institutional-grade key management and programmable security controls.
Cash leg settlement. Instant asset transfers mean little if the payment still takes days. Tokenized deposits and wholesale CBDC are crucial here.
Data privacy. Investor identities and documents must stay off-chain, in line with laws such as India's Digital Personal Data Protection Act.
Where tokenization is likely to grow first
- Government and money market instruments, because they are standardised and low-risk.
- Funds, where tokenized units can simplify subscriptions and redemptions.
- Private credit and trade receivables, where transparency and automation reduce operational friction.
- Real estate fractions, subject to careful regulation.
- Carbon credits and environmental assets, where traceability matters.
- Inventory and warehouse receipts, which can serve as collateral for faster financing.
Questions to ask before investing in a tokenized asset
Tokenization can make assets easier to access, but the fundamentals of due diligence do not change. Before committing money, investors and institutions should be able to answer these questions clearly.
- What exactly do I own? Is it direct ownership of the asset, a share in a legal vehicle that owns it, or a contractual claim against the issuer?
- Which law governs the token? Where would a dispute be heard, and does that jurisdiction recognise the digital record as evidence of ownership?
- Who holds the underlying asset? Is there an independent custodian or trustee, and how often is the holding verified?
- How are reserves proven? Is there continuous or regular proof that tokens in circulation match the underlying asset or cash?
- What happens if the issuer fails? Are token holders protected from the issuer's creditors?
- Who can I sell to? Are there eligibility rules, holding periods or jurisdiction limits, and is there an actual secondary market?
- How are income and redemptions paid? In what currency, on which rail, and how quickly?
- How is the token secured? What custody model protects keys, and what controls exist if something goes wrong?
- Is it regulated? Which regulator oversees the issuer, the platform and the trading venue?
If the answers are vague, the technology does not matter. Good tokenization makes these answers more transparent, not less.
